Terms and Conditions for Taskbase Ltd trading as Taskbase

Introduction and Scope:

These Terms and Conditions ("Terms") govern the business relationship and the provision of virtual assistant services by Diviso Ltd, trading as Taskbase ("Taskbase"). By engaging the services of Taskbase, the client ("Client") agrees to these Terms.

Definitions:

"Agreement": Refers to the binding contract, comprising these Terms, any service schedules, and other related documents, between Taskbase and the Client.

"Services": The virtual assistant services provided by Taskbase as detailed in the Client's service request or outlined in any service schedule.

"Virtual Assistant": A contractor or employee designated by Taskbase to perform tasks on behalf of the Client.

"Confidential Information": Any proprietary, sensitive, or non-public information exchanged between the parties in the course of providing the Services.

"Data Protection Legislation": Applicable legislation governing data protection and privacy, including but not limited to the GDPR.

Provision of Services:

Taskbase agrees to provide Services in a professional manner, adhering to the specifications set forth by the Client.

Services will be performed in compliance with all applicable laws and regulations.

Fees, Billing, and Payment:

Pricing is based on the selected pricing plan as maintained via Taskbase’s billing platform. Details of specific service charges and any additional costs will be transparently communicated to the Client.

Invoices will be issued in accordance with the agreed pricing plan. Payment terms will be as per the agreed schedule, and late payments may attract interest charges at a rate specified in the invoice or agreement.

Cancellation Policy:

Monthly Plan: Requires 30 days' written notice for cancellation. The plan remains active and billable until the end of the current billing cycle following the notice period.

Quarterly Plan: Requires at least 30 days' notice before the end of the current quarter. Failure to provide timely notice will result in the plan’s automatic renewal for another quarter.

Service hours or time under any plan do not roll over to subsequent billing periods unless specifically agreed upon in the service contract.

Client Obligations:

To provide Taskbase with all necessary information, access, and cooperation to enable the effective delivery of Services.

To ensure that the use of Taskbase's Services complies with all applicable laws and regulations.
To maintain confidentiality regarding the terms and conditions of the service agreement and any business-sensitive information disclosed during the service period.

Intellectual Property Rights:

Taskbase retains all rights to proprietary methodologies and materials used in providing Services.

Any Client content or materials provided for the execution of Services remain the intellectual property of the Client.

Confidentiality and Data Protection:

Both parties commit to protecting the confidentiality of proprietary information.
Taskbase will comply with Data Protection Legislation in the processing of any personal data.

Limitation of Liability:

Taskbase’s liability is confined to direct damages incurred due to its performance of Services and excludes indirect, consequential, or punitive damages.

The Client agrees to indemnify Taskbase against claims, damages, or losses arising from the Client's breach of these Terms or negligence.

Dispute Resolution:

In the event of a dispute, the parties will first seek resolution through mediation. If unresolved, disputes may be escalated to legal proceedings, subject to the jurisdiction stipulated below.

Assistant Assignment and Replacement:

Taskbase assigns assistants at its discretion and may replace them at any time without notice.
Clients may request an assistant swap after completing 3 tasks or after 2 weeks, whichever comes first.

Assistant Avatars:

Assistants may use stock avatars if they choose not to upload personal photos.

Response Times:

Response times for assistant queries are 4 hours for Basic and Starter plans, and 2 hours for Growth and Executive plans, during the assistant’s working hours.

Assistant Availability and Leave:

In cases of sick or leave absence, Taskbase aims to assign a new assistant with a target response time of one business day.

Assistants are entitled to up to 10 days of leave per 6 months, with at least 2 weeks’ advance notice, except in emergencies.

Non-Poaching Agreement:

Clients must not poach, employ, or offer direct payments to Taskbase staff or sub-contractors. Violation incurs recruitment fees of £3,000, training fees of £2,000, plus an average 6-month revenue generated by an assistant.

Communication Policy:

Official Taskbase communication channels must be used, such as the dashboard or mobile app.
Off-platform communications are not considered in disputes.

Fee Adjustments:

Taskbase reserves the right to adjust fees with 30 days' notice. Adjusted fees apply to the next billing cycle.

Refund Policy:

Refunds are at Taskbase’s discretion and are not provided for unused time in a current Pricing Plan.

Maximum Liability:

Taskbase’s maximum liability in any dispute is capped at £20,000.

Governing Law and Jurisdiction:

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Amendments:

These Terms may only be amended or modified in writing, signed by duly authorised representatives of both parties.

Severability:

If any provision of these Terms is found invalid or unenforceable, the remainder of the Terms shall remain in effect.

Entire Agreement:

These Terms, along with any schedules and appendices, constitute the entire agreement between Taskbase and the Client, superseding all prior negotiations, understandings, or agreements.
